These Terms of Service (hereinafter: “ToS”) govern the use of the SEO analysis and audit services available on the seocheck.hu website (hereinafter: “Service”).

1. Scope

1.1. These ToS apply to all registered users and subscribers.
1.2. The Service description and pricing are determined by the information published on the website.
1.3. Any differing terms proposed by the customer shall only apply if expressly accepted in writing by the Service Provider.

2. Contract Formation

2.1. The plans and pricing shown on the website do not constitute a binding offer; they are subject to change.
2.2. A contract is considered concluded when the Service Provider accepts the customer’s request or starts fulfilling the Service (e.g. account activation).
2.3. The Service Provider may refuse customer requests without providing justification.
2.4. The customer grants the Service Provider non-exclusive rights to use the uploaded data, brand identifiers and other materials necessary for the Service during the contract term and — where legally required for compliance — beyond its termination.

3. Plans and Access Rights

3.1. SEO Free – free of charge, with limited features.
3.2. SEO Expert – paid plan with extended features.
3.3. The exact scope and limitations of each plan are published on the website and may be reasonably modified or improved at any time.

4. Ordering Process (SEO Expert Plan)

4.1. Steps of ordering a paid plan:
To use the SEO Free plan, no ordering process or registration is required. As a visitor — essentially a Guest user of the website — you can use it with limited functionality. To access the full functionality, registration is required. During the registration process, you must select the SEO Expert service plan, its billing cycle, and currency. Additionally, the LifeTime option can be chosen for those who wish to obtain perpetual usage rights with a one-time payment.
When ordering the SEO Expert service plan, after selecting the plan and related options, you will be redirected to the Service Provider’s online account management system (https://ocp.uriweb.hu), where the registration process can be completed. After completing the registration, the service plan will be activated within a few hours, and you will receive an email notification.
4.2. By completing the order, the customer enters into a binding contractual relationship and accepts these ToS.

5. Term, Termination & Plan Changes

5.1. Paid subscriptions have a minimum term of 1 month, automatically renewed for another month unless canceled by the customer before the end of the billing cycle.
5.2. Cancellation may be submitted in writing or via the online cancellation function.
5.3. SEO Free accounts can be deleted at any time.
5.4. Upgrades to a higher plan are possible at any time; unused fees are credited proportionally.
5.5. Downgrades are only allowed at the end of the billing period, and features/data exclusive to higher plans may be deleted after the downgrade.
5.6. Extraordinary termination is allowed in case of payment default or breach of these ToS.

6. Pricing & Payment Terms

6.1. Prices shown are gross prices; VAT exempt according to Hungarian VAT Act Section 187 (AAM).
6.2. The fee is due in advance, at the beginning of the billing period. The invoice will be sent by email, first as a pro forma invoice, and then as a final invoice in PDF format after the payment has been completed.
6.3. Payment: secure online credit card payment using the Stripe system, or regular bank transfer.
6.4. Any costs related to failed payment transactions — not caused by the Service Provider — shall be borne by the customer.
6.5. In case of payment default, the Service Provider may suspend access until payment is received.

7. Service Modifications & Price Changes

7.1. The Service Provider may modify, improve or extend the Service at any time in a reasonable manner.
7.2. Significant modifications will be communicated in advance; failure to object within 6 weeks in writing shall be considered acceptance.
7.3. Subscription fee changes may apply at renewal; the customer will be notified at least 4 weeks prior. Rate increases entitle the customer to cancel at the end of the current period without notice.

8. Account Security & User Identification

8.1. The customer is responsible for the accuracy of registration details.
8.2. Username and password must be kept confidential; the customer bears all liability for unauthorized use caused by negligence.
8.3. Access credentials are non-transferable.

9. Data Protection & Confidentiality

9.1. The Service Provider will treat personal data confidentially and will only transfer data to third parties if required by law or necessary for Service operation (e.g. subcontractors).

10. Usage Rights & Content Liability

10.1. The customer guarantees rights to any content submitted for analysis and grants the Service Provider non-exclusive, global usage rights strictly for Service delivery.
10.2. Illegal or infringing content is prohibited. The Service Provider may remove or block such content without prior notice.
10.3. The customer shall be fully liable for damages, claims or legal expenses resulting from violations of third-party rights.

11. Subcontractors

11.1. The Service Provider may involve subcontractors and grant them sub-licenses necessary for the delivery of the Service.

12. Availability & Downtime Compensation

12.1. Target availability: 99,5% annual uptime.
12.2. Temporary limitations may occur due to maintenance, capacity or security measures.
12.3. If the Service is unavailable for more than 48 consecutive hours, the customer may request a 20% discount on the next billing period after review and approval.
12.4. Additional claims are excluded unless caused by willful misconduct or gross negligence.

13. Limitation of Liability

13.1. The Service Provider makes no guarantees of specific SEO results or search engine rankings.
13.2. Liability for direct damages caused by minor negligence is limited to 50% of the average annual subscription fee per incident.
13.3. No liability for indirect damages or lost profits unless caused by willful misconduct or gross negligence.
13.4. No liability for outages caused by third parties (hosting, network providers, external APIs).

14. Set-Off & Assignment

14.1. The customer may only set off undisputed or legally established claims.
14.2. Assignment of rights or claims to third parties requires prior written approval; otherwise, it is void.

15. Invoices & Complaints

15.1. The customer must verify invoice correctness.
15.2. Invoice complaints must be submitted within 30 days of receipt; otherwise, the invoice is deemed accepted.

16. Amendments & Severability

16.1. Amendments to the contract require written form to be valid.
16.2. Invalid provisions shall be replaced by legally valid terms reflecting the original intent.

17. Governing Law & Jurisdiction

17.1. The contract is governed exclusively by Hungarian law.
17.2. Legal venue: the court having jurisdiction at the Service Provider’s registered address.
17.3. The customer bears any internet access / telecommunications costs.

18. Changes to the ToS

18.1. The Service Provider may modify these ToS and will notify users at least 4 weeks in advance.
18.2. Failure to object in writing within 4 weeks constitutes acceptance; if the customer objects, the Service Provider may terminate the subscription at the end of the current billing period.
